1. Who These Terms Bind

These Terms of Use govern your use of the website and services operated by VectorPay LLC, a Montana limited liability company ("VectorPay," "we," "us"). By accessing this website or submitting an application, you agree to these terms. If you are accepting on behalf of a business, you represent that you are authorized to bind that business.

2. What the Services Are

VectorPay provides payment acceptance hardware and gateway services that allow approved merchants to accept card present and bank account payments from their own customers, and to receive settlement of those funds.

VectorPay LLC is registered with the U.S. Department of the Treasury's Financial Crimes Enforcement Network (FinCEN) as a Money Services Business (MSB), under MSB Registration Number 31000314930359. Registration with FinCEN does not constitute certification, endorsement, or approval of VectorPay LLC by FinCEN or the U.S. Department of the Treasury. VectorPay is not a bank and does not accept deposits.

3. Eligibility and Underwriting

Services are available only to businesses domiciled in the United States that hold a U.S. business bank account. All applications are subject to underwriting, identity and entity verification, collection of beneficial ownership information, sanctions screening, and applicable card network rules. We may decline an application, and we may terminate an approved account, at our discretion and without stating a reason where disclosure is restricted by law.

4. Your Obligations as a Merchant

You agree to accept payments only for your own bona fide sales of goods and services, in the business category disclosed in your application. You may not aggregate or submit transactions on behalf of a third party, process transactions for a prohibited business, split a single sale across multiple transactions to evade limits, or submit a transaction you know or suspect to be fraudulent. You are responsible for the accuracy of your settlement account details and for maintaining the security of your terminals and portal credentials.

5. Fees, Settlement, and Reserves

VectorPay charges a one-time hardware price and a flat subscription fee, as stated on our pricing page and in your merchant agreement. We do not charge a percentage of sales or a per-transaction processing fee. Fees are billed to the payment method or account you designate.

Settlement is made to your designated business account, net of refunds you have issued. Approved transactions settle instantly.

6. Chargebacks and Refunds

Transactions processed through a VectorPay terminal are not subject to chargebacks, and VectorPay charges no chargeback fees.

You remain responsible for refunds you elect to issue to your own customers, and for maintaining accurate records of the goods and services you sell. Refunds are processed through the merchant portal and are deducted from settlement.

7. Hardware

Terminals are sold, not leased. Title passes to you on delivery. Hardware carries a one year limited warranty against manufacturing defect. Unopened hardware may be returned within thirty days of delivery for a full refund. The warranty does not cover physical damage, liquid exposure, unauthorized modification, or tampering with security seals.

8. Card Network and NACHA Rules

Your acceptance of card payments is additionally governed by the operating rules of the applicable card networks, and your submission of bank payments by the NACHA Operating Rules. Where those rules conflict with these terms, those rules control. You agree to obtain and retain a valid customer authorization for every bank payment you originate.

9. Term and Termination

The processing relationship continues month to month. Either party may terminate on thirty days' written notice, and we may suspend or terminate immediately for suspected fraud, prohibited activity, sanctions exposure, material misrepresentation, or a violation of network or NACHA rules. Your liability for transactions submitted before termination, including chargebacks arising afterward, survives termination.

10. Disclaimers and Limitation of Liability

The services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, VectorPay disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. VectorPay's total aggregate liability arising out of or relating to the services will not exceed the total fees you paid to VectorPay in the three months preceding the event giving rise to the claim. VectorPay is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost revenue.

11. Indemnity

You agree to indemnify and hold harmless VectorPay, its managers, employees, and service providers from claims, losses, fines, and expenses, including reasonable attorneys' fees, arising from your transactions, your goods and services, your breach of these terms, or your violation of applicable law or network rules.

12. Governing Law and Disputes

These terms are governed by the laws of the State of Montana, without regard to its conflict of laws principles. The exclusive venue for any dispute is the state or federal courts located in Flathead County, Montana, and each party consents to that jurisdiction. Each party waives any right to a jury trial and to participate in a class action.

13. Changes and Notices

We may amend these terms by posting an updated version with a revised effective date, and material changes affecting active merchants will be sent to the email of record. Notices to VectorPay must be sent to compliance@vector-pay.com or to VectorPay LLC, 1001 S Main St # 11903, Kalispell, MT 59901-1498.
